Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Daywatch, operated by TendersLab LTD (“Daywatch”, “we”, “us”). By creating an account, you agree to these Terms.
1. The Service
Daywatch is an AI-powered shift scheduling and team coordination platform. We provide Cloud (SaaS) and On-Premise licensing options.
2. Accounts
- You must provide accurate information when registering.
- You are responsible for maintaining the security of your account credentials.
- One organisation per registration. You may create multiple team workspaces within one organisation.
- You must be at least 18 years old to create an account.
3. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose or in violation of any regulations.
- Attempt to gain unauthorised access to any part of the platform.
- Reverse-engineer, decompile, or copy any part of the service.
- Use the service to store or transmit malicious code.
- Resell or sublicense access to the service without our written consent.
4. Subscriptions & Billing
- Free tier: Available until you add your first worker. Explore shifts, rules, and scheduling without charge.
- Starter ($40/month): Up to 10 workers — $4.00/worker.
- Pro ($150/month): Up to 50 workers — $3.00/worker.
- Enterprise ($500/month): Up to 200 workers — $2.50/worker.
- Business ($1,000/month): Up to 500 workers — $2.00/worker. Includes multi-team hierarchy, dedicated onboarding, and custom labor-law presets.
- For organisations with more than 500 workers, contact us for a custom quote.
- Annual billing is available at a 10% discount. Cancelling an annual subscription grants access through the end of the billing year; no refunds are issued for the remaining period.
- Billing is processed by Lemon Squeezy. Monthly subscriptions may be cancelled at any time; access continues until the end of the current billing period. No refunds are issued for periods already paid.
- In the event of a payment failure, you will be given a 7-day grace period to update your payment method before account access is suspended.
- We reserve the right to update pricing with 30 days' notice.
5. Intellectual Property
Daywatch and all its content, features, and functionality are owned by TendersLab LTD and protected by copyright, trademark, and other intellectual property laws. Your data remains yours — we claim no ownership over content you upload to the service.
6. Data Processing
By using Daywatch, you acknowledge that we process personal data of your team members on your instruction as a data processor (including name, phone number, email address, availability, and scheduled shifts). As the organisation administrator, you are the data controller responsible for ensuring you have valid legal basis to provide us with employee data. See our Privacy Policy for details.
7. Service Availability
Daywatch operates on a continuous deployment model — improvements and fixes are rolled out regularly without service interruption. There are no planned maintenance windows and we do not expect downtime for routine updates. We strive to maintain high availability of the service on a best-effort basis. In exceptional cases of significant infrastructure work, we will endeavour to give advance notice. We are not liable for downtime caused by events outside our reasonable control, including failures of third-party services we rely upon.
8. Disclaimer of Warranties, AI & Labour Regulations
The service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, reliability, accuracy, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any particular results will be achieved through use of the service. Software may contain bugs or defects that affect functionality, data accuracy, or calculations; TendersLab LTD is not liable for any harm resulting from such software errors.
AI Disclaimer: Daywatch includes AI-powered features, including automated scheduling suggestions and compliance checks. TendersLab LTD operates under a quality assurance process and makes every effort to deliver a product of the highest standard; however, AI outputs are recommendations only and do not constitute binding decisions. The manager and organisation bear sole responsibility for the final schedule, compliance with applicable labour laws, and employment conditions. TendersLab LTD shall not be liable for any damages, fines, claims, or losses arising from reliance on AI-generated outputs without review and approval by a qualified manager.
Labour Regulations Disclaimer: The labour law rules and compliance parameters built into Daywatch (including hour limits, breaks, and rest periods) are authored with the assistance of artificial intelligence and are provided as general guidance only. TendersLab LTD makes every effort to maintain a high level of accuracy, but does not warrant the completeness, currency, or accuracy of this content at all times. Labour laws vary by jurisdiction, industry, and employment type, and may change over time. The organisation bears sole responsibility for ensuring full compliance with all applicable labour regulations — including seeking qualified legal counsel where necessary.
9. Limitation of Liability
To the maximum extent permitted by law, TendersLab LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability to you shall not exceed the amount paid by you in the 12 months preceding the claim.
10. Termination
- You may close your account at any time via Account → Danger Zone → Delete Account.
- We may suspend or terminate accounts that violate these Terms — including but not limited to the Acceptable Use provisions (§3), Intellectual Property (§5), or payment obligations (§4) — with or without notice.
- Upon termination, your data is deleted in accordance with our Privacy Policy.
- The following sections survive termination: §5 (Intellectual Property), §8 (Disclaimer of Warranties & AI), §9 (Limitation of Liability), §11 (Governing Law), §13 (General Provisions).
11. Governing Law
These Terms are governed by the laws of the State of Israel. Disputes shall be subject to the exclusive jurisdiction of the courts of Tel Aviv-Yafo, Israel, without prejudice to any mandatory consumer protection rights you may have under the laws of your country of residence. In the event of any conflict between the Hebrew and English versions of these Terms, the Hebrew version shall prevail.
12. WhatsApp Notifications
By providing your phone number and verifying it via OTP, you consent to receive security verification codes, shift assignments, schedule updates, availability reminders, and open shift offers via WhatsApp from Daywatch. Message frequency varies. Standard message and data rates may apply from your mobile carrier. You may opt out of these notifications at any time by replying STOP to any message you receive. Consent to receive messages is not a condition of purchase.
13. General Provisions
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between us and supersede any prior oral or written agreements.
- Assignment: We may assign our rights or obligations under these Terms to a third party (including in connection with a merger, acquisition, or sale of assets) with 30 days' prior notice. You may not assign your rights without our written consent.
- Waiver: Our failure to enforce any right under these Terms shall not constitute a waiver of that right.
14. Changes to These Terms
We will notify you by email at least 30 days before material changes take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
